In short: AdNeed helps you make a catalog you can share on WhatsApp. You own what you upload. You are responsible for what you publish. We run the service with reasonable care but cannot promise it will never be interrupted. Nothing here takes away rights you have under Indian law.

1. Who we are and what these Terms cover

AdNeed ("AdNeed", "we", "us") is an online service operated by an individual based in Uttar Pradesh, India. AdNeed is not a company, LLP or other registered entity. These Terms apply when you create an account, use AdNeed tools, or publish a catalog. If you do not agree, please do not use AdNeed.

You must be 18 or older to create an account. AdNeed is meant for business use by shopkeepers, boutiques, wholesalers and similar sellers.

2. The service and our role

AdNeed currently offers online catalogs and product galleries (public and password-protected), business-card, QR, invoice/bill and poster tools, paid plans with a free trial, and AdCredits for certain in-platform features. Features, plan limits and prices can change; the plan and price shown to you when you pay is what applies to that payment.

AdNeed is a showcase tool only. AdNeed provides technology that lets any business create a catalog of its own products or services, share a link, and let visitors send their order list to the seller on WhatsApp for further discussion. Catalogs are created, filled and controlled by the businesses that own them. AdNeed is not a marketplace, retailer, seller, agent, broker or payment collector.

Accordingly:

This does not remove our own duties under the law. If you believe a catalog breaks the law or your rights, you can report it as described in section 6.

3. Your account

4. Your content

You own your content. Your logos, photos, product designs, descriptions, prices and other materials stay yours, subject to the rights of others.

Licence to us. You give AdNeed a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, resize, reformat, display, transmit, back up and process your content, only as reasonably needed to run, secure, maintain, support and improve the service for you (including showing your public catalog to visitors you share it with). The licence lasts while your content is on AdNeed and for a reasonable time afterwards for backups and legal needs. It does not transfer ownership.

Showcase examples. AdNeed may use publicly published catalogs as demonstration or portfolio samples unless you opt out. Details, limits and how to opt out are in the Catalog Content & Showcase Use Policy.

Your promises. You confirm that you have the rights and permissions needed to upload and publish your content (including photos of people, brand logos, designs and music/video), that it is accurate and lawful, and that it does not infringe anyone's rights.

Backups. Please keep your own copy of photos, product details and price lists. AdNeed takes reasonable care but is not a backup service.

5. Rules for using AdNeed

You must not use AdNeed to:

Your business compliance. You alone are responsible for the registrations, licences, taxes (including GST where applicable), product labelling, price display, and return, refund and warranty promises that apply to what you sell, and for honouring what you tell your customers.

6. Reporting content and complaints

If you believe content on AdNeed breaks the law or your rights, write to adneed.team@gmail.com or WhatsApp +91 73552 31894 with the catalog link and what is wrong. We will act as set out in Contact & Grievances. We may remove or disable content that appears to break these Terms or the law, and we will tell the account holder where practicable.

7. Plans, payments and renewal

Paid plans give access to features for the period you paid for. At the time of writing, AdNeed does not automatically charge your account again; renewals are made by you. We send reminders through available channels (such as email, in-product notices, and browser notifications if you enabled them) but a missed reminder does not extend your plan. Free trial: a free trial gives access to features for a limited time at no charge. When it ends, access to paid features may be limited or suspended unless you buy a plan, and section 8 applies in the same way. We may limit or refuse a trial where we reasonably suspect misuse, such as repeated sign-ups to avoid paying. If AdNeed ever introduces automatic recurring billing, we will ask for your clear consent first. Refunds and cancellations are covered in Refund & Cancellation.

8. Expiry, suspension and deletion

9. AdCredits

AdCredits are prepaid usage units for eligible in-platform features. They are not money, a bank deposit, an investment or withdrawable cash, and they cannot be transferred to another person. AdCredits are generally non-refundable, subject to applicable law, correction of mistakes and any express offer terms. See Refund & Cancellation.

10. Our property

AdNeed's software, design, name, logo, original templates and other platform materials belong to us or our licensors. You may use them only through the service. This does not apply to your content or to third-party content.

11. Third-party services and outages

AdNeed relies on third-party services such as cloud, hosting, database, storage, image and video, email and messaging services (including WhatsApp, which visitors use to send you their order list). If those services are slow, unavailable, change their terms, or fail, AdNeed may be affected. We will use reasonable efforts to restore normal operation but are not responsible for failures outside our reasonable control.

12. Changes, maintenance and availability

We may update, improve, limit or discontinue features, and carry out maintenance, sometimes without notice. We do not promise uninterrupted or error-free service. If we end a paid feature you have paid for, we will handle it fairly (for example by a remedy under Refund & Cancellation).

13. Suspension or ending by us

We may suspend or end an account or remove content if you seriously or repeatedly break these Terms, misuse the service, we are required to by law or a court/authority, or to protect the service or other people. Where practicable we will tell you why and give you a chance to respond. You can stop using AdNeed at any time and may ask us to delete your data (see the Privacy Policy).

14. No guarantees about results

AdNeed does not guarantee any number of orders, customers, search ranking, sales or that WhatsApp messages will be delivered or answered.

15. Limits on our liability

To the extent the law allows:

None of this excludes or limits liability that cannot lawfully be excluded, including for fraud, wilful misconduct, or any rights or remedies you have under the Consumer Protection Act, 2019 or other mandatory law.

16. If someone claims against you because of your content

You are responsible for your content. If a third party makes a claim because your content or your use of AdNeed broke the law or their rights, you agree to cover reasonable losses and costs we suffer to the extent caused by you.

17. Complaints, governing law and courts

Please contact us first at adneed.team@gmail.com; most issues can be solved quickly. These Terms are governed by the laws of India. Subject to your rights below, the courts in Uttar Pradesh, India have jurisdiction. Nothing in this clause limits your right to approach a consumer commission or other forum that is available to you under Indian consumer law, or any other right the law gives you that cannot be waived.

18. Changes to these Terms

We may update these Terms. We will post the new version with its date and, for significant changes, tell you in the product or by email. We will remind users of our terms and privacy policy at least once a year. If you keep using AdNeed after the change takes effect, the new Terms apply to your use from then, to the extent the law allows.

19. Notices

We may give you notice by email to your registered address, by a notice inside the product, or by posting on our website. You can give us notice at adneed.team@gmail.com. A notice sent by email is treated as received when it is sent, unless we learn it did not reach you.

20. General

These Terms, together with the Privacy Policy, Refund & Cancellation, Catalog Content & Showcase Use Policy and Contact & Grievances page, are the whole agreement between you and AdNeed about the service. If a part is found unenforceable, the rest stays in force. If we do not enforce a right immediately, we have not given it up. Sections that by their nature should continue after your account ends (for example ownership, liability limits, and dispute provisions) will continue. These Terms are an electronic record under the Information Technology Act, 2000 and do not need a signature. They are written in English; if you would like help understanding them in Hindi, contact us.
